2. Our Services
Future Prep provides AI governance training, operational strategy frameworks, digital sovereignty assessments, and related digital tools and resources for organisations operating in the European Union. Our Services include, but are not limited to:
- Digital training courses and learning tracks
- Downloadable resources (cheat sheets, templates, guides)
- Online assessment and checklist tools
- Subscription-based access to training catalogues and tools
- The 90-day flagship programme (delivered through direct engagement)
Selected training courses and assessments are delivered through 22Academy (22academy.com), an established European learning platform. Where a course is delivered through 22Academy, you will receive a separate account on that platform, and 22Academy’s own terms and privacy policy will apply to your use of that platform.
3. Target Audience and B2B Context
Our Services are designed for organisations, not individual consumers. By purchasing or using our Services, you represent that you are acting on behalf of a business, public institution, or other professional organisation within the European Union. Individual professionals may use the platform if their employer has arranged access.
4. Account Registration
4.1 Individual accounts
To access certain Services, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@futureprep.eu if you suspect unauthorised use of your account.
4.2 Organisational accounts
If you register as an organisational account owner, you may create and manage user accounts for employees or authorised representatives within your organisation. As the account owner, you are responsible for ensuring that all users within your organisation comply with these Terms. You are also responsible for managing access, including deactivating accounts when employees leave your organisation.
5. Orders and Payments
5.1 Pricing and invoicing
All prices are listed in Euros and exclude VAT unless stated otherwise. For B2B customers within the EU, VAT is reverse-charged in accordance with EU VAT Directive 2006/112/EC. We will issue invoices for all purchases. Invoices are sent electronically to the email address associated with your account.
5.2 Payment methods
Payment for Services is made via bank transfer based on the invoice provided, unless otherwise agreed. Access to purchased Services is activated upon receipt of payment unless separate arrangements have been made.
5.3 Subscriptions
Subscriptions are billed annually. The subscription period begins on the date of purchase and runs for 12 months. Subscriptions do not auto-renew. Before the end of your subscription period, we will notify you and provide the option to renew. If you choose not to renew, access to subscription-based content will end at the conclusion of the current period.
6. Right of Withdrawal and Refunds
6.1 B2B purchases
Our Services are provided in a business-to-business context. The EU Consumer Rights Directive (Directive 2011/83/EU) right of withdrawal does not apply to B2B transactions. We do, however, offer a voluntary 14-day satisfaction period, as described below.
6.2 Voluntary 14-day satisfaction period
If you are not satisfied with a purchased product, you may request a full refund within 14 days of purchase, provided that:
- You have not downloaded, accessed, or used the digital content.
- For training courses: you have not started any lesson or module.
- For tools and assessments: you have not submitted or generated any output.
Once digital content has been accessed, downloaded, or partially used, no refund will be issued. By accessing digital content, you acknowledge and accept that the voluntary satisfaction period ends at that point.
6.3 Subscriptions
Subscriptions may be cancelled at any time. Cancellation means the subscription will not be renewed at the end of the current period. No pro-rata refund is provided for the remaining time in the current subscription period. If you cancel within the first 14 days and have not accessed any subscription content, you may request a full refund.
6.4 Flagship programme
The 90-day flagship programme is subject to a separate agreement provided during the intake process. Cancellation and refund terms for the flagship programme are outlined in that agreement.
6.5 How to request a refund
To request a refund, contact us at info@futureprep.eu with your order details. Approved refunds are processed within 14 business days.
7. Intellectual Property
All content on the Website and within our Services, including but not limited to text, graphics, logos, icons, frameworks, templates, course materials, assessment tools, and software, is the property of Future Prep Ltd. or its licensors and is protected by copyright and intellectual property law.
Purchasing a product or subscription grants you a limited, non-exclusive, non-transferable licence to use the content for internal organisational purposes only. You may not reproduce, distribute, modify, publicly display, or create derivative works from our content without prior written permission.
Downloaded resources (such as templates and cheat sheets) may be used internally within your organisation. They may not be resold, redistributed, or shared outside your organisation.
8. Limitation of Liability
This section is important. Please read it carefully.
8.1 Nature of our Services
Future Prep provides training, frameworks, and tools to help organisations build internal capability for AI governance, operational strategy, and digital sovereignty. We empower your organisation to develop its own practices. We do not provide legal advice, regulatory compliance certification, management consulting, or implementation services.
Our approach is to show you the door and give you the key. Your organisation decides whether and how to walk through it. The responsibility for applying frameworks, making governance decisions, and ensuring regulatory compliance remains with your organisation.
8.2 No guarantee of regulatory compliance
While our training and tools reference applicable EU regulations (including the EU AI Act, GDPR, and related frameworks), completing our courses or using our tools does not guarantee compliance with any regulation. Regulatory compliance depends on your organisation’s specific circumstances, implementation decisions, and ongoing practices. We recommend seeking qualified legal counsel for compliance matters.
8.3 Limitation of damages
To the maximum extent permitted by applicable law, Future Prep Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising from your use of (or inability to use) our Services.
Our total aggregate liability for any claim arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or fraudulent misrepresentation.
9. Acceptable Use
You agree not to:
- Use the Website or Services for any unlawful purpose.
- Share your login credentials with others outside your organisation.
- Attempt to gain unauthorised access to any part of the Website or its systems.
- Copy, scrape, or systematically download content from the Website.
- Use our content to create competing products or services.
- Misrepresent your affiliation with any organisation when creating an account.
10. Availability and Modifications
We aim to keep the Website and Services available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time. For subscription customers, material changes to available content will be communicated with reasonable notice.
11. Third-Party Links and Services
The Website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party site. Use of third-party services is at your own risk and subject to their own terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Bulgaria. Any disputes arising from or related to these Terms or your use of our Services shall be submitted to the competent courts in Varna, Bulgaria.
If you are based in another EU member state, you may also bring proceedings in the courts of your own jurisdiction where permitted by applicable law.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that achieves the original intent as closely as possible.
14. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top indicates when they were last revised. Continued use of the Website or Services after changes constitutes acceptance of the revised Terms. Material changes will be communicated through the Website or by email.
